"Breaking the Video: Tokyo Police Club"

MTV Networks on Campus, Inc., a subsidiary of Viacom
International Inc. and Saddle Creek Records
1. NO PURCHASE NECESSARY TO ENTER OR WIN A
PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID IN ALASKA AND HAWAII AND WHERE PROHIBITED OR RESTRICTED BY LAW.
2.
Entry Period: The "Breaking the Video: Tokyo Police Club" (the
"Contest") commences at 10:00:01 AM (EST) on March 5, 2008 and ends at
4:59:59 P.M. (EST) on March 17, 2008 (the "Contest Period"). All
entries must be received by 4:59:59 P.M. (EST) on March 17, 2008.
3. Contest Overview: This Contest is a
contest wherein entrants create an original video treatment (the "Video
Treatment" or "Video Treatments") for a music video to accompany the
band, Tokyo Police Club (the "Band") song entitled "In a Cave" (the "Song").
Audio of the Song (the "Provided Audio") will be made available online
to entrants that register for the Contest in the manner described in Paragraph
5. Video Treatments must include at a minimum a word document that
describes the overall concept of the Video Treatment and may also include
videos and other visual and or graphic components to further illustrate the
overall concept.
4. Eligibility: The Contest is open to
legal residents of the 48 contiguous United States. Entrants must be at least
18 years of age or older at time of entry and currently enrolled at time of
entry and throughout the Contest Period as a part-time or full-time student at
an accredited United States college or university. Entrants can participate on
an individual basis (the "Solo Entrant" or "Solo Entrants") or as
a member of a team of up to two (2) individuals (the "Team Entrant" or "Team
Entrants", and together with the Sole Entrant, the "Entrant" or "Entrants").
Team Entrants are permitted to participate provided that one (1) participating
member of Team Entrants is designated as the main contact (the "Leader").
Entrants must also be amateur filmmakers and must not be, at time of entry,
during Contest Period or at time of prize fulfillment and acceptance, a party
to any agreement with any studio, production company or publishing company or
any third party that might interfere with Entrants participation in the Contest
and /or acceptance of the prize awarded. Entrants who are not yet at the age of
majority in the jurisdiction in which they reside will be required to obtain
parental or legal guardian consent to be eligible to be declared a Grand Prize
Winner (as hereinafter defined). Employees (and their immediate families i.e.,
parents, spouse, children, siblings, grandparents, step parents, step children
and step siblings) of MTV Networks on Campus Inc., a subsidiary of Viacom
International Inc, ("MTVNOC"), and Saddle Creek Records ("SADDLE
CREEK" and, together with MTVNOC, the "Contest Entities") and each
of their respective affiliated companies, sponsors, subsidiaries, advertising
agencies and third party fulfillment agencies are not eligible to participate
in Contest. By participating in this Contest, Entrants: (a) agree to be bound
by these Official Rules and by the interpretations of these Official Rules, and
by the decisions of MTVNOC, which are final in all matters relating to the
Contest; (b) to release and hold harmless Contest Entities and their respective
agents, employees, officers, directors, successors and assigns, against any and
all claims, injury or damage arising out of or relating to participation in
this Contest and/or the use or misuse or redemption of a prize and for any
claim based on publicity rights, defamation, invasion of privacy, copyright
infringement, trademark infringement or any other intellectual property related
cause of action and (c) acknowledge compliance with these Official Rules. MTVNOC
reserves the right, in its sole discretion, to disqualify any Entrant who is
under an agreement which MTVNOC deems as contradictory to the amateur nature of
this Contest.
5. To Enter:
Solo Entrants:
Log onto www.bestfilmoncampus.com, a web site owned and controlled by MTVNOC
(the "Web Site"), at any time during the Contest Period and: (a)
electronically agree to the terms of use of the MTVNOC Privacy Policy , Terms
of Use and User Content Submission Agreement; (b) follow the online
instructions to complete all required fields to register and create an account
profile (the "Account Profile") on the Web Site; (c) opt-in to Contest
and then follow the online instructions to upload word document and any other
videos and visual and/or graphic components being submitted as part of Video
Treatment.
Team Entrants: The member of the
Team Entrant designated as Leader must log onto Web Site at any time during
Contest Period and (a) electronically agree to the terms of the use of the
MTVNOC Privacy Policy, Terms of Use and User Content Submission Agreement; (b)
follow the online instructions to complete all required fields to register and
create an Account Profile for the Team Entrant on the Web Site; opt-in to
Contest and then follow the online instructions to upload word document and any
other videos and visual and/or graphic components being submitted as part of
Video Treatment. Leader must include the name of all Team Entrants when
creating Account for Team Entrant. All members of Team Entrant must agree to
these Official Rules and the MTVNOC Terms of Use, Privacy Policy and User
Content Submission Agreement in order for Team Entrant and each member of Team
Entrant to be eligible to enter Contest.
Entrants may submit up to three (3) separate Video Treatments.
In the event of a dispute over who submitted a winning
entry, the authorized account subscriber of the email account used to
participate in the Contest at the actual time of entry, will be deemed to be
the Entrant. The authorized account subscriber is defined as the natural person
who is assigned an email address by an Internet access provider, online service
provider or other organization (e.g. business, education institution, etc.)
that is responsible for assigning email address for the domain associated with
the submitted email address.
All contents of Video Treatments must be completely
original to Entrants and must not have been taken or composed in, whole or in
part, from any other source other than the Entrant, and must not have been released
commercially in order to be eligible to enter Contest. Video Treatments must
not be defamatory, trade libelous, pornographic or obscene and must be free and
clear of any liens or claims with respect to the use of the Video Treatments in
the manner authorized here, and such use authorized herein will not give rise
to any claims of infringement, invasion of privacy or publicity, or infringe on
any rights or interests of any third party, or give rise to any claims for any
payment whatsoever, including but not limited to claims for re-use fees or
residuals. Video Treatments which contain material this is not original to
Entrant, or is illegible or incomplete will not be accepted.
If any Video Treatments are created by the result of
any collaborative effort, each individual who has any right, title or interest
in such Video Treatments must be listed as a Team Entrant.
MTVNOC assumes no responsibility for any internal
disputes among members of Team Entrants. Such disputes will not be resolved by
MTVNOC. In the event that any dispute interferes with the operation of the
Contest, Team Entrant, including each member of Team Entrant, may be
disqualified in MTVNOC's sole discretion.
For All Entrants' Video Treatments:
Entrants agree that during the Contest Period: (i)
Video Treatments may be used by Contest Entities in whole or in part for any
purpose whatsoever without any compensation; and (ii) to hereby grant to
Contest Entities the non-exclusive, irrevocable right and license to exhibit,
broadcast, copy, reproduce, encode, compress, encrypt, incorporate data into,
edit, broadcast, rebroadcast, transmit, record, publicly perform, create
derivate works of, and distribute and synchronize in time related to visual
elements, the materials contained in Video Treatments and/or any portion or
excerpts thereof, in any manner, an unlimited number of times, in any and all
media, now known or hereafter devised, throughout the world in perpetuity.
Contest Entities are under no obligation to use the Video Treatments for any
purpose.
For Grand Prize Winning Video Treatment:
Entrants agree that the winning Video Treatment shall
be a "work for hire", with all rights therein, including without limitation,
the exclusive copyright, being the property of SADDLE CREEK, and in the event
the winning Video Treatment is not considered to be a "work made for hire",
Entrants irrevocably assign to SADDLE CREEK all right, title and interest in
the winning Video Treatment (including, without limitation, the copyright) in
any and all media whether now known or hereafter devised, in perpetuity,
anywhere in the world, with the right to make any and all uses thereof,
including, without limitation, for purposes of advertising or trade. To the
extent, if any, that Entrants may be deemed an "author" of such master
recordings, Entrants further grant to SADDLE CREEK a power of attorney,
irrevocable and couple with an interest, on Entrant's behalf and in Entrant's
name, to apply for and obtain, and on obtaining same, to assign to SADDLE
CREEK, all such copyrights and renewals and extensions thereof. Entrants
further agree to perform such acts and execute and deliver to SADDLE CREEK, and
to cause each person rendering services in connection with the Video Treatment
to perform such acts and execute and deliver to SADDLE CREEK (a) written assignments to SADDLE CREEK (in a
form satisfactory to SADDLE CREEK) of all sound recording copyright rights
(including renewal and extension rights) such person may have, and/or (b) such
other instruments as SADDLE CREEK deems necessary to effectuate and/or record
ownership of rights hereunder with the U.S. Copyright Office or elsewhere.
Entrants hereby irrevocably appoint SADDLE CREEK as Entrants' agent and
attorney-in-fact to execute the aforementioned instruments in Entrant's name
and/or the name of such persons rendering services in connection with the Video
Treatment and to dispose of such instruments; and Entrant's acknowledge that
SADDLE CREEK's agency and power is couple with an interest. Without limiting
the generality of the foregoing, the winning Video Treatment may be used by
SADDLE CREEK, its representatives, affiliates and licensees in whole or in part
for any purpose whatsoever without any compensation to Grand Prize Winner,
including, but not limited to the unconditional right to exhibit, broadcast,
copy, reproduce, encode, compress, encrypt, incorporate data into, edit,
broadcast, rebroadcast, transmit, record, publicly perform, create derivate
works of, and distribute and synchronize in time related to visual elements,
the materials contained in the winning Video Treatment and/or any portion or
excerpts thereof, in any manner, an unlimited number of times, in any and all
media, now known or hereafter devised. .
Video Treatments shall not contain, include or
involve any of the following:

Obscenity
·
Crude, vulgar or offensive
pictures, depictions, images, language and/or symbols
·
Gang signs or symbols
·
Nudity
·
Commercial products (e.g.,
clothing, toys, food) and/or their trademarks, brands, logos or endorsements
·
License plates, phone numbers,
personal addresses - physical or email or otherwise
·
Website or web page links
·
Derogatory characterizations of
any ethnic, racial, sexual or religious groups, humiliate other people
(publicly or otherwise), any assault or threatening of others
·
Trespass or the violation of other
people's rights or property
·
Illegal (e.g., discriminatory,
harassing) or inappropriate activity, behavior or conduct (e.g., inflicting
emotional distress)
·
Conduct or activities in violation
of these Official Rules
·
Any other content, display,
materials and/or images that is or could be considered inappropriate,
unsuitable or offensive, as determined by MTVNOC, in its sole discretion
Video Treatments containing
content which endorses or condones illegal drug use or alcohol abuse is not
allowed. Narcotic addiction and alcohol abuse should only be depicted as
self-destructive, anti-social behavior. Video Treatments should not promote,
glamorize or show as socially acceptable, the use of illegal drugs or the abuse
of legal drugs.
Video Treatments containing
explicit, graphic or excessive sexual activity is not allowed. When sexual
themes are key to the meaning or intent of a Video Treatment they must be
depicted with consistent regard for commonly accepted standards of taste and
propriety.
Video Treatments containing
gratuitous violence is unacceptable. Violence, if depicted, must be essential
to the development of a theme, plot or concept of the entry. Violence may not
be used to stimulate the audience or to invite imitation, nor may it be shown
or offered as an acceptable solution to problem or conflict. Exceptional care
must be taken in instances where women and children are victims of, or are
threatened by, acts of violence.
Language contained in Video
Treatments will be evaluated by MTVNOC based on contest and societal
acceptability.
In submitting an entry into
this Contest, each Entrant agrees to, confirms and represents to MTVNOC that
neither he/she nor anyone else has engaged or taken part in (or induced or
encouraged anyone else to do so) in any activity or conduct in connection with
this Contest that: (i) may or is likely to harm or create a risk of harm,
physical or mental injury, emotional distress, death, disability,
disfigurement, or physical or mental illness to any person, other living thing
or any property; (ii) may or is likely to create a risk of any other loss or
damage to person, living things or property; (iii) is or may constitute a
crime, unlawful or non-consensual activities (e.g., conduct that could
lead to criminal prosecution), tortious conduct (e.g., conduct that
could lead to civil prosecution) or the violation or infringement of the rights
of any other party; or (iv) violates any of the terms or conditions of these
Official Rules. MTVNOC is not obligated to review, consider, use, publish,
display or broadcast any materials submitted with an entry; provided
however that each Entrant acknowledges that MTVNOC will rely on such Entrant's
agreement and compliance with these Official Rules when Entrant submits or
attempts to submit the entry. MTVNOC (and any and all of MTVNOC's subsidiaries
and affiliates and affiliated broadcast stations and networks) shall have the
right to use any materials submitted pursuant to these Official Rules in or on
the Web Site, and in or on any other program, programming channel, broadcast or
other public display and performance, at any time in the future, without notice
and without compensation, royalty, accounting, liability or obligation of any
kind to any Entrant.
MTVNOC
reserves the right to reject any entries that it deems, in its sole discretion,
to violate any of the policies of MTVNOC's "Standards and Practices
Guidelines." MTVNOC may modify or edit any materials related to a Contest entry
or request Entrants to do so, so that such materials meet such guidelines.
All entries submitted in
accordance with these Official Rules shall be hereinafter referred to as the "Eligible
Entries". Incomplete or inaccurate entries are void. The official judging
panel will be comprised of representatives from MTVNOC, SADDLE CREEK and Band
(the "Judges"), and the entries will be judged based on the judging
criteria set forth in Paragraph 6 below, subject to the other terms and
conditions of these Official Rules (including those in Paragraph 5
regarding Video Treatment content). The final determination of the grand prize
winner (the "Grand Prize Winner") and the application of the judging
criteria shall be in the sole and absolute discretion of the Judges. In the
event of a tie or dispute or for any other reason that MTVNOC deems necessary
during any round of the Contest, determination of the Grand Prize Winner shall
be made by MTVNOC. To the extent permitted by law, the Contest Entities
disclaim any liability from, and Entrants, whether or not a Grand Prize Winner,
agree to waive, any claims against each Contest Entity relating to the judging
or awarding process. MTVNOC reserves the right to delay the announcement of the
Grand Prize Winner in its sole discretion. All Video Treatments become the
property of MTVNOC and will not be acknowledged or returned.
6. Judging
Criteria: The Judges will judge the
entries equally based on a variety of elements, including but not limited to,
originality, creativity, how well the Video Treatment is presented, how well
the Video Treatment concept is explained in words, and the feasibility of
execution of Video Treatment within a $10,000.00 budget. Judges reserve the
right to conduct interviews with any Entrant. The Judges also reserve the
right to extend the Contest Period or not to award the prizes (hereinafter
defined) if they determine, in their sole discretion, that entries received did
not meet the minimum qualification standards based on the judging criteria
specified herein.
7. Grand Prize Winner
Selection/Notification: One (1) Grand Prize Winner will be selected from
among the Eligible Entries by the Judges on or about March 26, 2008. MTVNOC
will make up to three (3) attempts over the 48 hour period following Grand
Prize Winner selection to contact the potential Grand Prize Winner (or the
Leader of a Team Entrant that is a Grand Prize Winner). If the potential Grand
Prize Winner (or the Leader of the Team Entrant that is a Grand Prize Winner)
cannot be reached during the 48 hour period in which he/she is called (no
messages will be left on answering machines or voicemail systems) the potential
Grand Prize Winner will be disqualified and an alternative Grand Prize Winner
may be selected from among the remaining Eligible Entries. In addition, MTVNOC
reserves the right to select an alternative Grand Prize Winner from the
Eligible Entries in the event that the Grand Prize Winner (including any member
of a Team Entrant that is a Grand Prize Winner) fails to comply with these
Official Rules.
8. Grand Prize Winner Verification: The
potential Grand Prize Winner, including each member of a Team Entrant that is a
potential Grand Prize Winner, (his/her parent/legal guardian if Grand Prize
Winner is a resident of a jurisdiction that deems him/her to be a minor) must
prove eligibility, including, without limitation, proof of age and residence
and proof of current enrollment at an accredited United States college or
university within two (2) days of being notified as a potential Grand Prize
Winner. In the event of non-compliance by the potential Grand Prize Winner
(including any member of a team Entrant that is a potential Grand Prize Winner)
such potential Grand Prize Winner shall be disqualified and all privileges
otherwise due as a Grand Prize Winner shall be terminated and an alternative
potential Grand Prize Winner may be chosen from among the remaining Eligible
Entries received in MTVNOC's sole discretion. The Grand Prize Winner must
sign, including each member of a Team Entrant that is a potential Grand Prize
Winner, (or, if a minor in the jurisdiction in which he/she resides, have
his/her parent or legal guardian sign) within two (2) days of receipt of such
documents from MTVNOC: (a) an affidavit of eligibility and release of Contest
Entities and their respective officers, directors, employees, agents, members,
affiliated companies and subsidiaries, from any and all liability, loss,
claims, demands, and causes of action for personal injury and/or damage, theft,
loss, or any other harm suffered in connection with this Contest or the
use/misuse or acceptance of any prizes or any portion thereof, and for any
claims based on publicity rights, defamation, invasion of privacy, copyright
infringement, trademark infringement or any other intellectual property related
cause of action, to be eligible for the prizes; (b) except where prohibited by
law, a promotional release granting Contest Entities the right to use their
name and likeness for advertising and publicity purposes without additional
compensation; and (c) an assignment of rights to SADDLE CREEK in and to the
Video Treatment. Entry into this Contest constitutes agreement to sign such
releases. Grand Prize Winner, including each member of a Team Entrant that is a
potential Grand Prize Winner, (of, if a minor in the jurisdiction in which
he/she resides, his/her legal guardian also must acknowledge that Contest
Entities have not and will not obtain or provide insurance of any kind relating
to the prize and the Grand Prize Winner (or, if a minor, his/her parent or
legal guardian) will be responsible for obtaining and paying for any form of
insurance relating to the prizes. Grand Prize Winner, including each member of
a Team Entrant that is a potential Grand Prize Winner (or, if a minor, his/her
parent or legal guardian) must also complete any additional legal documents
provided by Contest Entities (or third party on its behalf, if applicable) with
respect to the prize and return them as instructed within the time frame
specified by Contest Entities or Grand Prize Winner may forfeit prizes at
MTVNOC's sole discretion. MTVNOC expressly reserves the right to delay the
announcement of the Grand Prize Winner for creative or technical reasons or for
any other reason MTVNOC deems necessary.
9. Grand Prize: There will be one (1)
Grand Prize Winner. A team Entrant that is a Grand Prize Winner is considered
one (1) Grand Prize Winner. The Grand Prize Winner will receive: (a) the
opportunity to have their Video Treatment produced by SADDLE CREEK, with
assistance from Grand Prize Winner, including each member of a Team Entrant
this is a Grand Prize Winner, into the Music Video and (b) $2,000.00, (the "Grand
Prize"). Grand Prize Winner, including each member of a Team Entrant that
is a Grand Prize Winner, will be presented with one contract in the form and
containing terms and conditions which are consistent with SADDLE CREEK'S
standard music video production agreement where the development commitment is
contemplated to be for a single project (the "Production Agreement"). If
SADDLE CREEK and Grand Prize Winner fail to agree on the material terms of the
Production Agreement such that Grand Prize Winner, including each member of a
Team Entrant that is a Grand Prize Winner, fails to execute the Production
Agreement within three (3) days following the date the Grand Prize Winner is
represented with the Production Agreement, Contest Entities shall have the
option to disqualify the Grand Prize Winner, including each member of a Team
Entrant that is a Grand Prize Winner, and the Grand Prize may be forfeited and
awarded to an alternative Eligible Entrant, who according to the opinion of the
Judges, was the next in contention for Grand Prize Winner designation.
10. Grand Prize Terms: The ARV of the Grand
Prize is $2,000.00. Arrangements for the fulfillment of the Grand Prize will be
made by SADDLE CREEK. The dates for the fulfillment of the Grand Prize will be
on or around May 5, 2008 and such date is subject to change in Contest Entities
sole discretion.
11. General Prize Terms: If for any
reason any Grand Prize element is delayed, cancelled or postponed or otherwise
not fulfilled, the Contest Entities reserve the right, but are not obligated,
to cancel or modify the Contest in their discretion and may award a substitute
prize of equal of greater value. All costs and expenses not specifically
listed above are solely Grand Prize Winner's responsibility. The value of the
Grand Prize will be taxable to Grand Prize Winner as income, including each member
of a Team Entrant that is a Grand Prize Winner. Grand Prize Winner, including
each member of a Team Entrant that is a Grand Prize Winner, must supply SADDLE
CREEK with his/her social security number for tax purposes. An IRS Form 1099
will be issued in the name of each Grand Prize Winner, or, if a minor, in the
name of his/her parent or legal guardian, for the actual value of the Grand
Prize received. Upon receipt of any Grand Prize, each Grand Prize Winner is
required to comply with any and all applicable federal, state, and local laws,
rules, and regulations. All federal, state and local taxes, and any other costs
not specifically provided for in these Official Rules are solely each Grand
Prize Winner's responsibility. Neither MTVNOC nor any other Contest Entity
shall have any responsibility or obligation to a Grand Prize Winner or
potential Grand Prize Winner who is unable or unavailable to accept or utilize
Grand Prize as described herein.
No substitution, transfer or cash equivalent of the
Grand Prize or any portion thereof permitted, except by Contest Entities, in
which case a prize of equal or greater value may be awarded.
12. General Terms: Noncompliance with any
of these Official Rules may result at any time in disqualification. ANY
VIOLATION OF THESE OFFICIAL RULES BY THE GRAND PRIZE WINNER OR ANY BEHAVIOR BY
THE GRAND PRIZE WINNER THAT WILL BRING SUCH GRAND PRIZE WINNER OR MTVNOC OR ANY
OTHER CONTEST ENTITY INTO DISREPUTE (IN CONTEST ENTITIES SOLE DISCRETION) WILL
RESULT IN SUCH GRAND PRIZE WINNER'S DISQUALIFICATION AS THE GRAND PRIZE WINNER
OF THE BREAKING THE VIDEO: TOKYO POLICE CLUB CONTEST AND ALL PRIVILEGES AS THE
GRAND PRIZE WINNER WILL BE IMMEDIATELY TERMINATED.
Contest Entities assume no responsibility for
incorrect or inaccurate entry information whether caused by any of the
equipment or programming associated with or utilized in this Contest or by any
human error which may occur in the processing of the entries in this Contest.
Contest Entities are not responsible for any problems or technical malfunction
of any telephone network or lines, computer online systems, servers, or
providers, computer equipment, software, failure of any e-mail or players on
account of technical problems or traffic congestion on the Internet or at any web
site, or any combination thereof, including, without limitation, any injury or
damage to participant's or any other person's computer related to or resulting
from participation or downloading any materials in this Contest. Contest
Entities are not responsible for any typographical or other error in the
printing of the offer, administration of the Contest, or in the announcement of
the Grand Prize/Grand Prize Winner. If, for any reason, the Contest is not
capable of running as planned, including, without limitation, changes in
MTVNOC's on-air programming, infection by computer virus, bugs, tampering,
unauthorized intervention, fraud, technical failures, or any other causes
beyond the control of Contest Entities which corrupt or affect the
administration, security, fairness, integrity or proper conduct of this
Contest, Contest Entities reserve the right in their sole discretion to cancel,
terminate, modify or suspend the Contest. Should the Contest be terminated
prior to the stated expiration date, notice will be posted on www.bestfilmoncampus.com and the Grand Prize may
be awarded to a winner to be selected from among all Eligible Entries received
up until and/or after (if applicable) the time of modification, cancellation or
termination. All interpretations of these Official Rules and decisions by
MTVNOC are final. No software-generated, robotic, programmed, script, macro or
other automated online or text message entries are permitted and will result in
disqualification of all such entries. MTVNOC reserves the right in their sole
discretion to disqualify any individual they find to have tampered with the
entry process or the operation of this Contest; to be acting in violation of
these Official Rules; or to be acting in an unsportsmanlike or disruptive manner,
or with intent to annoy, abuse, threaten or harass any other person or to have
provided inaccurate information on any legal documents submitted in connection
with this Contest. CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY
DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A
VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, MTVNOC
RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST
EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE
SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE CONTEST AND THE LAWS OF
THE STATE OF NEW YORK SHALL GOVERN THE CONTEST. EACH ENTRANT WAIVES ANY AND
ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO
THE JURISDICTION OF THOSE COURTS. Entrants agree to indemnify and hold harmless
the Contest Entities from any and all liability resulting or arising from the
Contest, to release all rights to bring any claim, action or proceeding against
the Contest Entities, and hereby acknowledge that said Contest Entities have
neither made nor are in any manner responsible or liable for any warranty,
representation or guarantee, express or implied, in fact or in law, relative to
the Grand Prize. Past experience has confirmed that contests and other
competitions generate substantially similar submissions or entries which
closely resemble concepts and ideas that have been independently developed by
Contest Entities before or after the Contest. Accordingly, Entrants may
subsequently see a Contest Entity presentation which seemingly incorporates an
idea or concept or includes materials similar to that contained in their
entries. Any similarity is purely coincidental and unavoidable in light of the
volume of ideas which Contest Entities routinely considers in the course of
their program development. Because of this possibility, Entrants hereby agree
to submit their entries under the following terms and conditions: (a) that
Contest Entities may use any ideas, concepts, material, in whole or in part,
contained in an entry; (b) that all physical materials submitted become the
property of Contest Entities and will not be returned; (c) that all materials
submitted are free from any lien or claim by anyone, including, but not limited
to any union, guild or performance rights society; (d) Entrants have obtained
all rights, permissions and licenses necessary for Contest Entities to use the
entries for any purpose; (e) that no entry or any part thereof infringes any trademark or copyright or otherwise violates anyone's right of privacy or publicity and (f) Entrants indemnify and
hold harmless Contest Entities and their respective parent companies, officers,
directors, employees, agents, members, affiliated companies and subsidiaries
from any claims, suits, losses damages and expenses (including reasonable
attorneys' fees) that arise from any breach of the following conditions.
Entrants agree to the foregoing and in addition agree to obtain, upon request
of Contest Entities any documentation and releases necessary to prove their
unrestricted ownership in all materials contained in their Video Treatments and
Contest Entities right to use such materials, in whole or in part, without
limitation in all media and for any purpose whatsoever without compensation.

name of Grand Prize Winner must be made by May 1, 2008. Please note on the
front left hand corner of your outer envelope whether you are requesting
"Official Rules" or the name of the "Grand Prize Winner." Vermont residents may omit return postage if requesting a set of Official Rules.
